Terms of Service

⚠️ IMPORTANT: This agreement provides for settlement of disputes by arbitration instead of jury trials.

1. Agreement and Acceptance

These Terms of Service ("Agreement") constitute a legal contract between you ("Customer" or "You") and Consumers Call LLC ("Company", "We", or "Us"). Your use of our website, services, and platforms (the "Services") constitutes your acceptance of these terms. If you do not agree, do not access or use our Services.

2. Service Eligibility

You must be at least 18 years old and a valid subscriber in good standing. You are responsible for obtaining and maintaining your own internet connection. We do not control or guarantee the quality of your internet service.

We are not responsible for third-party products, services, or internet connection issues that affect your access to our Services.

3. Account Management and Authorization

You may designate one or more account administrators with full control over your account. Administrators can modify services, manage billing, and authorize account changes. You are responsible for keeping login credentials confidential and for all activities under your account.

You authorize us to charge your payment method on file each billing cycle for current services and any overage charges incurred.

4. Service Modifications and Price Changes

We reserve the right to modify service features, plans, and pricing with thirty (30) days' notice to you. Changes may be required due to FCC regulations, government mandates, or commercial decisions affecting similarly situated customers.

All pricing excludes taxes, fees, and government-mandated charges, which will be added to your invoice.

5. Service Pricing and Billing

You agree to pay rates and charges as set forth in your Service Agreement or account portal, including:

  • Usage-based charges (per-minute, per-call, per-message, per-port)
  • Recurring monthly or annual charges
  • One-time setup or activation fees
  • All applicable taxes and regulatory fees

Our service is principally prepaid. Your account must maintain sufficient funds at all times. Services are subject to immediate suspension without notice if your account balance is insufficient.

All payments, including advance payments, are non-refundable. Late charges of 1.5% per month (or maximum allowed by law) apply to balances over 30 days past due.

6. Fraudulent and Unauthorized Use

You are responsible for all call traffic and charges on your account regardless of authorization or source. If your account credentials are compromised, you remain liable for all charges incurred.

We are not responsible for investigating usage authenticity, preventing fraudulent usage, or reimbursing fraudulent charges billed to your account.

You must immediately notify us of any unauthorized account access or suspicious activity.

7. Emergency Services (911)

WARNING: Our 911 service operates differently than traditional 911 service and may have limitations.

  • 911 calls are routed to designated emergency services based on your registered address
  • 911 service will not function during power failures or service outages
  • Network congestion may delay 911 call routing or answering
  • Your phone number or address may not transmit correctly to emergency personnel
  • You must use your actual physical street address (not P.O. box or mail drop)

8. Number Porting and Phone Numbers

You grant us authority to initiate porting requests and manage your phone numbers on your behalf. We may place your numbers with carriers or peers as necessary for service provision.

You release us from liability for service delays, number loss, or technical issues related to porting caused by third-party carriers or systems. Upon account termination, your assigned numbers are immediately reclaimed.

9. Contract Termination

Either party may terminate this Agreement with thirty (30) days' written notice. Upon termination, you may request a refund of your prepaid account balance minus any outstanding charges.

Refunds are processed within 30 days. All assigned telephone numbers are reclaimed immediately upon termination.

10. Intellectual Property and Reverse Engineering

Our infrastructure, software, network, and platforms are proprietary and confidential. You may not:

  • Reverse engineer, decompile, or disassemble our Services
  • Sublicense, resell, or redistribute our Services
  • Use our Services to violate any intellectual property or other rights
  • Use our Services for any illegal or unauthorized purpose

11. Confidentiality

Both parties agree that pricing, network architecture, software, usage data, and other non-public information exchanged are confidential and proprietary. Confidential information shall not be disclosed to third parties without written permission during the term of this Agreement and for three (3) years thereafter.

12. Dispute Resolution and Arbitration

Any disputes arising from this Agreement shall be resolved by binding arbitration under American Arbitration Association Commercial Arbitration Rules, held in New York.

The arbitrator's decision is final and binding. We may seek injunctive relief for intellectual property infringement.

13. Waiver of Jury Trial

You understand and agree that you are waiving your right to a jury trial. You and we agree that any claims shall be resolved through arbitration, not litigation.

14. Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM OUR RECKLESS OR INTENTIONAL MISCONDUCT, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (including lost profits, revenues, data, or business interruption).

OUR TOTAL LIABILITY arising from this Agreement shall not exceed the total amount you paid us in the six (6) months preceding the claim.

15. Acceptable Use Policy

You agree not to use our Services for:

  • Illegal activities or violating any law
  • Telemarketing calls or unsolicited commercial messages (except with prior consent)
  • Harassment, threats, or abusive communications
  • Robocalls, call spoofing, or caller ID manipulation
  • Fraud, deception, or misrepresentation
  • DDoS attacks or unauthorized network access
  • Distribution of malware or harmful code

16. Data Security and Privacy

We implement comprehensive security measures to protect your data. However, we cannot guarantee absolute security. Your sensitive information is protected by encryption and access controls.

17. Service Modifications and Downtime

We may perform maintenance, updates, or improvements that temporarily interrupt service. We will attempt to schedule maintenance during off-peak hours and provide notice when feasible. We are not liable for service interruptions caused by maintenance, technical issues, or force majeure events.

18. Force Majeure

Neither party is liable for performance delays or failures caused by events beyond their reasonable control (wars, natural disasters, strikes, pandemics, government action, etc.). The affected party shall provide prompt written notice.

19. Modifications to These Terms

We reserve the right to modify these Terms with thirty (30) days' notice. Continued use of our Services following notice constitutes acceptance of modified terms. We encourage you to review this page periodically for updates.
